Oktober 2023, um 24:00 Uhr (MEZ) („Abstimmungszeitraum “), mache allen Gläubigern nach § 18 Abs. 1 SchVG i.V.m. § 15 Abs. 2 Satz 3 SchVG das Verzeichnis der stimmberechtigten und an der Abstimmung ohne Versammlung teilnehmenden Gläubiger zugänglich, welches sich in Anlage 1 zu dieser Niederschrift befindet.

from Wednesday 18^th October 2023, at 0:00 (CEST) until Wednesday 25^th October 2023, at 24:00 (CEST) (“Voting Period ”), make available to all creditors in accordance with Sec. 18 para. 1 of the German Act on Debt Securities (Schuldverschreibungsgesetz – SchVG) in conjunction with Sec. 15 para. 2 sentence 3 SchVG, the list of creditors with voting rights participating in the vote without a meeting, which can be found in Annex 1 to these minutes.

A. Aufforderung zur Stimmabgabe

A. Invitation to vote

Die Aufforderung zur Stimmabgabe ohne Versammlung ist im Bundesanzeiger am 2. Oktober 2023 unter Mitteilung des Gegenstandes der Abstimmung ohne Versammlung, des Verfahrens der Abstimmung und des Beschlussvorschlages des Emittenten veröffentlicht worden.

The invitation to vote without a meeting has been published in the Federal Gazette (Bundesanzeiger) of 2^nd October 2023, with information on the subject of voting without a meeting, the voting procedure and the issuer’s uniform resolution proposal.

Ein Anteil in Höhe von EUR 17.939.000,00 wird angabegemäß von dem Emittenten bzw. mit diesem verbundenen Unternehmen gehalten und war daher nicht stimmberechtigt.

A share in the amount of EUR 17,939,000.00 is held as stated by the issuer or its affiliated companies and was therefore not entitled to vote.

Als Abstimmungsleiter stelle ich fest, dass ab dem Tag der Aufforderung zur Stimmabgabe an für alle Anleihegläubiger folgende Unterlagen auf der Internetseite des Emittenten abrufbar waren:

As the scrutineer (Abstimmungsleiter) of voting, I note that, from the date of the invitation to vote, the following documents were available to all bondholders on the issuer’s website:

•	der Anleiheprospekt der 11.25 % Inhaber-Teilschuldverschreibung 2016/2025 (Stand November 2016);

•	the bond prospectus of the 11.25 % Senior Notes 2016/2025 (as of November 2016);

•	die Anleihebedingungen der 11.25 % Inhaber-Teilschuldverschreibung 2016/2025 (formell geändert zum August 2021);

•	the bond Terms and Conditions of the 11.25 % Senior Notes 2016/2025 (formally amended as of August 2021);

•	die Aufforderung zur Stimmabgabe in einer Abstimmung ohne Versammlung nebst den darin enthaltenen Bedingungen, von denen die Teilnahme an der Abstimmung ohne Versammlung und die Ausübung der Stimmrechte abhängen;

•	the invitation to vote in a vote without a meeting, together with the conditions contained therein, on which participation in the vote without a meeting and the exercise of voting rights depend;

•	die Proforma geänderten Anleihebedingungen der 11.25 % Inhaber-Teilschuldverschreibung 2016/2025 (Clean-Version);

•	the Proforma Amended bond Terms and Conditions of the 11.25 % Senior Notes 2016/2025 (clean-version);

•	die Proforma geänderten Anleihebedingungen der 11.25 % Inhaber-Teilschuldverschreibung 2016/2025 (Redline-Version);

•	the Proforma Amended bond Terms and Conditions of the 11.25 % Senior Notes 2016/2025 (redline-version);

•	das Formular für die Stimmabgabe im Rahmen der Abstimmung ohne Versammlung;

•	the vote submission form for a vote without a meeting;

•	das Vollmachtsformular zur Erteilung von Vollmachten an Dritte;

•	the proxy form for granting powers of attorney to third parties;

•	die Richtlinien hinsichtlich der Abstimmung;

•	the voting guidelines;

•	die Informationen zu den Datenschutzvorschriften; und

•	the information on data protection rules; and

•	das Musterformular für den Besonderen Nachweis mit Sperrvermerk.

•	the specimen form for the Special Confirmation with a blocking notice.

B. Stimmerklärungen während des Abstimmungszeitraums

B. Expressions of vote during the Voting Period

Ausweislich des in Anlage 1 befindlichen Teilnehmerverzeichnisses sind mir als Abstimmungsleiter 94.966 gültige Stimmerklärungen innerhalb des Abstimmungszeitraumes zugegangen (71,91 % der 132.061 stimmberechtigten Anleihen im Nennbetrag von jeweils EUR 1.000). Außerhalb des Abstimmungszeitraumes eingegangene Stimmerklärungen sind hierbei nicht berücksichtigt.

According to the list of participants in Appendix 1, I, as scrutineer (Abstimmungsleiter), received 94,966 valid expressions of vote within the Voting Period (71.91 % of the 132,061 bonds with voting rights with a nominal value of EUR 1,000 each). Votes received outside the Voting Period are hereby not taken into account.

Die Stimmabgabe erfolgte per Post, E-Mail und Fax an die jeweils bekanntgemachte Adresse des Notars sowie über das Clearing System Verfahren. Bei Abstimmung über das Clearing System Verfahren, prüfte das Clearing System nach den mir erteilten Informationen die Eigentumsverhältnisse der beteiligten Anleihegläubiger bei den Depotbanken und bestätigte die Sperrung der Stimmrechtsobligationen bis mindestens zum Ende der Abstimmungsperiode.

Votes were cast by mail, e-mail and fax to the address of the Notary as well as by Clearing System procedure. Where a vote was taken via the Clearing System procedure, the Clearing System – according to my information – verified ownership of the bondholders involved with the depository banks and confirmed blocking of the voting bonds until at least the end of the Voting Period.

Das nach § 18 Abs. 1 SchVG i.V.m. § 15 Abs. 3 Satz 1 SchVG und den Anleihebedingungen zur Abstimmung erforderliche Quorum von 50 % der ausstehenden Schuldverschreibungen wurde erreicht und beträgt 71,91 %. Die Beschlussfähigkeit lag damit vor.

Pursuant to Sec. 18 para. 1 SchVG in conjunction with the Senior Notes’ Terms and Conditions, the quorum needed was 50 % of the outstanding bonds. This quorum was achieved and amounts to 71.91 %.

Beschlussgegenstände der Abstimmung ohne Versammlung in Form eines einheitlichen Beschlussvorschlags waren:

Subjects of the vote without a meeting in the form of a uniform resolution proposal were:

1.	die Verlängerung der Laufzeit der Schuldverschreibungen bis zum 23. Mai 2028 und die entsprechende Änderung des „Endgültigen Rückzahlungstermins“ durch die Änderung des § 1 Abs. 1 und § 2 Abs. 1 der Anleihebedingungen.

1.	the extension of the maturity of the Senior Notes until 23^rd May 2028, and the respective amendment of the “Final Redemption Date” by amending Sec. 1 para. 1 and Sec. 2 para. 1 of the Senior Notes’ Terms and Conditions;

2.	die Aktualisierung der Call-Struktur und die Änderung des „Call Option Amounts“ in eine stufenweise Absenkung von 104,00 Prozent auf 100,00 Prozent durch die Änderung des § 1 Abs. 1 der Anleihebedingungen;

2.	the update of the call structure and the amendment of the “Call Option Amount” to gradually decline from 104.00 per cent. to 100.00 per cent. by amending Sec. 1 para 1 of the Senior Notes’ Terms and Conditions;

3.	die Einführung einer zusätzlichen Rückkaufoption (Put Option) zugunsten der Anleihegläubiger, die im Februar 2025 ihre Anlage in die Schuldverschreibungen beenden wollen, mit einer Begrenzung auf EUR 15.000.000,00, durch die Änderung des § 6 Abs. 7 der Anleihebedingungen;

3.	the introduction of an additional repurchase (Put Option) in favour of the Holders who wish to exit the investment in the Notes in February 2025, capped at EUR 15,000,000.00, by amending Sec. 6 para 7 of the Senior Notes’ Terms and Conditions;

4.	die Ernennung der Greenmarck Restructuring Solutions GmbH zum Agenten (Agent) und Vertreter der Anleihegläubiger.

4.	the appointment of Greenmarck Restructuring Solutions GmbH as Agent and noteholders’ representative.

Weitere Beschlussfassungen waren nicht Gegenstand der Abstimmung ohne Versammlung.

Further resolutions were not part of the vote without meeting.

Ergänzungsverlangen oder Gegenanträge sind weder mir noch dem Emittenten vor oder während des Abstimmungszeitraums zugegangen.

Neither I nor the issuer have received requests for supplements or countermotions before or during the Voting Period.

Die nach § 5 Abs. 3 Nr. 2 SchVG i.V.m. § 15 Abs. 2 der Anleihebedingungen erforderliche Mehrheit zur Annahme des Beschlussgegenstandes betrug 75%.

The majority required to accept the subject matter of the resolution in accordance with Sec. 15 para. 2 of the Senior Notes’ Terms and Conditions in conjunction Sec. 5 para. 3 no. 2 SchVG was 75%.

Der Notar ermittelte die Zahl der JA-Stimmen, NEIN-Stimmen und ENTHALTUNGEN jeweils durch Auszählung.

The Notary determined the number of YES votes, NO votes and ABSTENTION by counting each.

Auf die JA-Stimmen entfielen unter Berücksichtigung der mir während des Abstimmungszeitraums zugegangenen Stimmerklärungen gemäß Anlage 1 insgesamt 88.174 gültige Stimmen. Auf die NEIN-Stimmen entfielen insgesamt 5.641 gültige Stimmen. Auf ENTHALTUNG entfielen insgesamt 1.151 gültige Stimmen. Von denjenigen, die mit JA oder NEIN stimmten, lag der Anteil der JA-Stimmen bei 93,99 %.

Taking into account the expressions of vote received by me during the Voting Period in accordance with Appendix 1 the YES votes accounted for a total of 88,174 valid votes. The NO votes accounted for a total of 5,641 valid votes. ABSTENTION received a total of 1,151 valid votes. Of those voting YES or NO, the proportion voting YES was 93.99 %.

Daher stelle ich fest, dass der vom Anleiheschuldner zur Abstimmung gestellte einheitliche Beschlussvorschlag mit der erforderlichen Mehrheit von 75 % zustande gekommen ist und die Abstimmung ohne Versammlung zu schließen war.

Therefore, I determine that the uniform resolution put to a vote by the Debtor have been accepted with the required majority of 75% and that the vote without meeting was closed.

C. Stimmerklärungen nach dem Ende des Abstimmungszeitraums

C. Expressions of vote after the Voting Period

Ausweislich des in Anlage 2 befindlichen weiteren Verzeichnisses sind mir als Abstimmungsleiter nach dem Ende des Abstimmungszeitraums am Donnerstag, den 26. Oktober 2023, weitere 2.882 von der Zahlstelle an mich übermittelte Stimmerklärungen, welche mittels des Clearing System Verfahrens während des Abstimmungszeitraums abgegeben wurden, zugegangen (sodann insgesamt abgegebene und mir zugegangene 97.848 Stimmerklärungen, was 74,09 % der 132.061 stimmberechtigten Anleihen im Nennbetrag von jeweils EUR 1.000 entspräche).

According to the further list in Appendix 2, I, as scrutineer (Abstimmungsleiter), received after the end of the Voting Period on Thursday, 26^th October 2023, 2,882 further expressions of vote transmitted to me by the paying agent, which were submitted by means of the clearing system procedure within the Voting Period (thereafter a total of 97,848 expressions of vote submitted and received by me, which would correspond to 74.09 % of the 132,061 bonds with voting rights with a nominal value of EUR 1,000 each).

Unter Berücksichtigung der weiteren, mir nach dem Ende des Abstimmungszeitraums gemäß Anlage 2 zugegangenen Stimmerklärungen, wäre das nach § 18 Abs. 1 SchVG i.V.m. § 15 Abs. 3 Satz 1 SchVG und den Anleihebedingungen zur Abstimmung erforderliche Quorum von 50 % der ausstehenden Schuldverschreibungen ebenfalls erreicht und betrüge 74,09 %. Die Beschlussfähigkeit wäre demnach ebenfalls gegeben.

Taking into account the further expressions of vote received by me after the end of the Voting Period in accordance with Appendix 2, the quorum required pursuant to Sec. 18 para. 1 SchVG in conjunction with the Senior Notes’ Terms and Conditions, of 50 % of the outstanding bonds would also have been achieved and would amount to 74.09 %. The quorum would therefore also be reached.

Unter Berücksichtigung auch dieser Stimmerklärungen nach Anlage 2 entfielen auf die JA-Stimmen insgesamt 90.871 Stimmen, auf die NEIN-Stimmen entfielen insgesamt 5.826 Stimmen und auf ENTHALTUNG entfielen insgesamt 1.151 Stimmen. Von denjenigen, die mit JA oder NEIN stimmten, lag der Anteil der JA-Stimmen bei 93,97 %.

Taking into account also these expressions of vote Appendix 2 , the YES votes totalled 90,871 votes, the NO votes totalled 5,826 votes, and ABSTENTION received a total of 1,151 votes. Of those voting YES or NO, the proportion voting YES was 93.97 %.

Nur zur Klarstellung: Im Rahmen der gültigen Beschlussfeststellung nach B. wurden die weiteren Stimmerklärungen nach Anlage 2 nicht berücksichtigt.

Just for clarification: Within the framework of the valid determination of the resolution according to B., the further expressions of vote according to Appendix 2 were not taken into account.

Nur die deutsche Fassung dieser Urkunde ist maßgeblich.

The German version of this deed shall prevail.
